1. About these terms
These terms apply to your use of this website and to the services provided by Ivanova IT, SIA, registration number 40203794327, Republic of Latvia ("Ivanova IT", "we", "us"). "You" means the visitor of the website or the client who orders our services.
If we sign a separate written agreement for a project, that agreement takes priority over these terms where the two differ.
2. Using this website
The information on this website is for general information. Prices shown are starting prices in euros and are not an offer to enter into a contract; the binding price is the one in your quote. Whether VAT is added depends on the tax status of both parties and will be stated in the quote.
You may not use the website in a way that harms it or other users, for example by trying to gain unauthorised access or sending automated requests in large volumes. The design, texts and illustrations on this website belong to Ivanova IT and may not be copied without our permission.
3. Quotes and agreements
- After the brief, we send a written quote describing the scope, timeline and price.
- A quote is valid for 30 days unless it says otherwise.
- The project starts when you accept the quote in writing (email is enough) and pay the advance invoice.
- Anything not described in the quote is outside the scope and will be priced separately.
4. Prices and payment
- Landing pages and online stores: 50% before work starts and 50% before the site goes live, unless the quote says otherwise.
- SaaS projects: paid per milestone, as described in the quote.
- Invoices are payable within the term stated on the invoice.
- If an invoice is overdue, we may pause work until it's paid, and the timeline moves accordingly.
- Recurring third-party costs, such as hosting, domains, platform subscriptions and payment provider fees, are paid by you directly to the provider unless agreed otherwise.
5. Your part of the work
To keep the project on schedule, you agree to:
- provide texts, images, logos, product data and other materials on time;
- give feedback within the agreed time, usually within 3 working days;
- provide access to the accounts and services we need for the project;
- make sure you have the rights to all materials you give us, and that they don't break the law or anyone else's rights.
If materials or feedback arrive late, the deadlines move by the same amount of time.
6. Revisions and changes
The number of design revision rounds included is stated in the quote. Changes that go beyond them, or new features requested during the project, are estimated separately and done only after you approve the estimate.
7. Acceptance and launch
Before launch, you review the finished work on a test link. Please report any issues within 5 working days. If we don't hear about any material issues in that time, or if you ask us to launch, the work is considered accepted. Minor issues that don't prevent normal use are fixed under our support terms and don't delay acceptance.
8. Ownership and licences
- Once the project is paid in full, you own the rights to the design, code and content created specifically for you.
- Third-party components, such as open-source libraries, fonts, plugins, themes and stock images, remain under their own licences. We'll tell you about any paid licences before using them.
- Until full payment, we keep the rights to the work, and you may not use it publicly.
- We may mention the project in our portfolio unless you ask us not to or a confidentiality agreement prevents it.
9. Support and fixes
For 30 days after launch, we fix errors in the work we delivered at no extra cost. This doesn't cover problems caused by changes made by you or third parties, by hosting or platform updates, or new features. After this period, support is available on an hourly basis or through a monthly plan.
10. Third-party services
Projects often rely on services we don't control, such as hosting providers, e-commerce platforms, payment providers and email services. Their own terms and fees apply. We're not responsible for their outages, price changes or decisions, but we'll help you deal with them where we can.
11. Liability
We do our work carefully and professionally. To the extent permitted by law:
- our total liability for a project is limited to the amount you paid us for that project;
- we're not liable for indirect losses, such as lost profit, lost data or lost business opportunities;
- you're responsible for the content published on your website and for complying with the laws that apply to your business.
Nothing in these terms limits liability that can't be limited by law, or the mandatory rights of consumers.
12. Confidentiality
We keep confidential any non-public information you share with us about your business and project, and use it only to deliver the project. On request, we'll sign a separate non-disclosure agreement.
13. Ending a project
Either party may end a project by written notice if the other seriously breaches these terms and doesn't fix the breach within 10 days of being asked to. You may also end a project at any time for your own reasons. In both cases, you pay for the work done up to that point, and we hand over everything that has been paid for.
14. Governing law and disputes
These terms are governed by the laws of the Republic of Latvia. We'll always try to resolve disagreements through direct negotiation first. If that doesn't work, disputes are resolved by the courts of the Republic of Latvia. If you're a consumer, you keep the protection of the mandatory laws of the country where you live.
15. Changes to these terms
We may update these terms from time to time. The version that applies to a project is the one in force on the date you accepted the quote. The date at the top of this page shows the latest update.
